Franchise Partners encourages minority AspenTech shareholders to reject Emerson’s cash tender offer
Independent Franchise Partners, LLP (“Franchise Partners”), acting on behalf of its clients, is the owner of 489,000 shares in Aspen Technology, Inc. (“AspenTech”). This represents 0.7% of issued share capital. Franchise Partners is a top 20 shareholder in AspenTech and has been a supportive owner of the business since 2023.
Franchise Partners is disappointed with the Board of Directors’ decision to support the current cash tender offer by Emerson. The opportunistic offer of $265 per share represents a derisory 12% premium to the average share price over the 60 days prior to the deal announcement. It substantially undervalues AspenTech and fails to recognize its scarcity value and its attractive revenue and free cash flow growth prospects.
Franchise Partners has no intention of tendering its shares at the current price.
